PLEASE READ THIS AGREEMENT CAREFULLY BEFORE YOU PAY. IT AFFECTS YOUR LEGAL RIGHTS.
BY ACCEPTING IT, YOU AGREE THAT: (1) WE DO NOT GUARANTEE WINS, IMPROVEMENT, OR ANY OTHER RESULT FOR ANY PLAYER OR TEAM; (2) YOU ALONE ARE RESPONSIBLE FOR HOW YOU USE OUR CONTENT AND FOR YOUR PRACTICES, PLAYERS, SAFETY, AND SUPERVISION; (3) YOU ASSUME THE RISKS OF YOUR TEAM ACTIVITIES; (4) YOU RELEASE CLAIMS AGAINST US AS DESCRIBED IN SECTION 12; (5) OUR LIABILITY IS LIMITED TO THE AMOUNT YOU PAID (SECTION 13); (6) YOU WILL INDEMNIFY US FOR CLAIMS ARISING FROM YOUR TEAM ACTIVITIES (SECTION 14); (7) ALL SALES ARE FINAL AND NO REFUNDS ARE GIVEN (SECTION 10); AND (8) DISPUTES ARE RESOLVED AS DESCRIBED IN SECTION 18, [INCLUDING INDIVIDUAL ARBITRATION AND A CLASS ACTION WAIVER].
Our Mission
Our goal is always to provide coaches with tools so that kids learn sports in a loving and educational environment, where winning is secondary to building skills and character. This statement describes our purpose. It is not a promise of any result (see Section 4).
Injury and Liability Disclaimer
WE ARE NOT RESPONSIBLE FOR ANY INJURIES THAT TAKE PLACE FROM THE RECOMMENDED TRAINING SESSIONS OR PRACTICE PLANS, AND THE EXECUTION OF ANY OF THESE THINGS IS NOT SOMETHING THAT WE HAVE ANYTHING TO DO WITH OR ANY LIABILITY ON.
This means that Albee Elite LLC (doing business as Court Ready Coaches) is not responsible for any injury that occurs during, or results from, any recommended training session, practice plan, drill, or activity, or from how any of them is carried out. We do not run, attend, or supervise your practices, games, or activities. You, as the coach, decide whether and how to carry out anything we recommend, and you are solely responsible for doing so safely. This disclaimer applies to the fullest extent permitted by law and works together with Sections 7, 8, 12, 13, and 14.
Plain-English Summary
This short summary helps you understand the Agreement. It is not a substitute for the full terms below, and the full terms control.
- What we do: We email you general practice plans, coaching information, and supporting documents, and we answer your check-ins. This is general information to support you as a coach.
- What we don't do: We don't coach your team, attend your practices, supervise your players, or give medical, legal, safety, or athletic-training advice. We don't guarantee wins, player improvement, or any other result.
- Your responsibility: You decide what to use, change, or skip. You are fully responsible for your practices, your players' safety and health, your facility, your league's rules, and your communications with parents.
- Money: You pay once for the number of weeks you choose: 8 weeks $125, 12 weeks $175, or 20 weeks $250. Nothing renews automatically. All sales are final, with no refunds, including for unused weeks.
- No player information: Send team-level information only. Don't send player names, photos, health details, or other personal information about minors.
1. Parties, Acceptance, and Eligibility
1.1 This Coach Acknowledgement, Assumption of Responsibility, Release and Disclaimer (the "Agreement") is between Albee Elite LLC, doing business as Court Ready Coaches ("Court Ready," "we," "us," or "our"), and the person who accepts it ("you" or "Coach").
1.2 You accept this Agreement by checking the acceptance box, typing your full name, and completing your purchase or form submission. Your acceptance is a binding electronic signature (see Section 23). If you do not agree, do not purchase or use the Service.
1.3 You confirm that you are at least 18 years old and able to enter into a binding contract.
1.4 If you accept on behalf of a school, club, league, or other organization, you confirm that you are authorized to bind it. In that case, "you" means both you and that organization, and each of you is responsible under this Agreement.
2. Definitions
- "Service" means the Court Ready Coaching Support program you purchase. It includes weekly practice plans, coaching information, replies to your check-ins, supporting documents, the intake form, and any related emails, files, and website content.
- "Content" means everything we provide through the Service. This includes plans, drills, schedules, rotations, documents, agendas, talking points, templates, replies, videos, images, and text.
- "Team Activities" means everything you, your assistants, volunteers, players, and others do in connection with your team. This includes practices, games, tournaments, travel, conditioning, meetings, and communications, whether or not they use our Content.
- "Released Parties" means Court Ready and Albee Elite LLC, together with their members, managers, owners, officers, employees, contractors, agents, affiliates, successors, and assigns, including Abram ("Abe") Albee.
3. Nature of the Service
3.1 General information and coaching support only. The Service provides general educational information and ideas to support youth basketball coaches. It is a coaching-support resource. It is not a substitute for your own training, judgment, or supervision.
3.2 Not professional advice. The Content is not medical, health, injury-prevention, concussion, first-aid, nutrition, mental-health, physical-therapy, athletic-training, strength-and-conditioning, safety, legal, or other professional advice. Nothing in the Service creates a doctor–patient, trainer–athlete, attorney–client, or other professional relationship. For those matters, consult a qualified professional, your league, your school or organization, and applicable rules.
3.3 We are not present. We do not attend, observe, run, or supervise your practices or games. We do not inspect your facility or equipment. We do not evaluate, screen, or meet your players. We do not know the age, size, skill, fitness, health, or medical history of any player.
3.4 No guarantee of accuracy or fit. We try to make the Content useful and tailored to the team-level information you give us. However, the Content is general and may contain errors, omissions, or ideas that are unsuitable for your team, players, space, rules, or circumstances. We do not guarantee that any Content is accurate, complete, current, appropriate, or safe for your situation. You must review all Content before you use it.
3.5 Not certification. The Service is not a coaching certification, license, background check, or safety training course. It does not satisfy any requirement your league, school, or state may have for those.
4. No Guarantee of Outcomes
WE DO NOT GUARANTEE, PROMISE, OR WARRANT ANY RESULT. THIS INCLUDES WINS, RECORDS, CHAMPIONSHIPS, PLAYING TIME, SELECTION FOR ANY TEAM, SCHOLARSHIPS, OR IMPROVEMENT IN ANY PLAYER'S OR TEAM'S SKILL, FITNESS, CONFIDENCE, BEHAVIOR, OR PERFORMANCE.
Results depend on many factors outside our control. These include your decisions, how you carry out practices, your players, their effort and health, attendance, opponents, officials, and facilities. Any examples, sample plans, or descriptions of what a plan is designed to do describe intent only. They are not promises of results. Your payment is for access to the Service as described, not for any outcome.
5. How Content Is Prepared (Automated Tools)
5.1 We use software tools, which may include artificial-intelligence tools, to help prepare practice plans, supporting documents, and drafts of check-in replies.
5.2 Check-in replies are reviewed before they are sent. Review does not mean that any Content is error-free, complete, or suitable for your team. Automated tools can produce mistakes, and the rest of this Agreement applies to all Content, however it was prepared.
5.3 Do not rely on the Service for urgent matters. For any injury, medical issue, emergency, or safety concern, contact emergency services, a medical professional, or your organization right away. Do not wait for a reply from us.
6. Delivery and Term
6.1 Weekly plans. After your purchase and completed intake form, we plan to email one practice plan each week on Mondays at 8:00 AM Central Time for the number of weeks you purchased.
6.2 Check-in replies. We plan to reply to each check-in within seven (7) days of receiving it.
6.3 Delivery issues. You are responsible for giving a correct email address and for checking spam or filtered folders. Delivery times are planned schedules. Delays can happen because of email systems, holidays, outages, or events outside our reasonable control (see Section 24.6). If a plan or reply is late, we will work to deliver it as soon as reasonably possible.
6.4 Term; no auto-renewal. The Service runs for the number of weeks you purchased (8, 12, or 20). It ends after the final scheduled plan and the reply period for your last check-in. Your purchase is a one-time payment. It does not automatically renew, and you will not be charged again unless you make a new purchase.
7. Your Sole Responsibility and Independent Judgment
7.1 You are in charge. You decide whether and how to use any Content. You agree to use your own independent judgment and to adapt, change, or skip any drill, activity, or suggestion as needed for your players, space, and circumstances.
7.2 You are solely and fully responsible for all Team Activities and for your implementation of any Content, as well as anything you do outside our Content. This includes, without limitation:
- Practice safety: the selection, intensity, duration, progression, and safe performance of every drill and activity, including warm-ups, conditioning, rest, water breaks, and heat or illness precautions;
- Supervision: adequate, qualified, and continuous supervision of all players, and the screening and conduct of assistants and volunteers;
- Player health: assessing whether each player is fit to participate; responding to injuries, illness, and suspected concussions; following return-to-play rules; and getting medical care when needed;
- Facilities and equipment: the condition and safety of courts, floors, walls, baskets, balls, and equipment, and any permits, rentals, or facility rules;
- Rules and laws: following all league, school, association, facility, and governing-body rules, and all applicable laws. This includes rules about youth-sports safety, concussions, background checks, mandatory reporting, and the protection of minors;
- Communications: all communications with players, parents, guardians, officials, and organizations, including anything you send or say based on our agendas, talking points, or templates;
- Policies and decisions: your team policies, playing time, roster, rotations, discipline, and all other coaching decisions;
- Releases, consent, and insurance: obtaining any parent or guardian consents, waivers, or medical-information forms your organization requires, and carrying any insurance you or your organization need.
7.3 We have no duty to supervise, monitor, or control your Team Activities. You agree that you, and not the Released Parties, are responsible for the consequences of your Team Activities.
8. Assumption of Risk
8.1 You understand that basketball and other physical activities involve inherent risks. These include sprains, strains, fractures, collisions, falls, overexertion, heat illness, cardiac events, concussions and other head injuries, permanent disability, and death. They also include property damage and other loss.
8.2 You knowingly and voluntarily assume all risks arising from your Team Activities and from your use, adaptation, or implementation of any Content, to the fullest extent permitted by law.
8.3 You are responsible for informing players and their parents or guardians about the risks of participation, as your organization and applicable law require.
9. No Player or Minor Information
9.1 The Service is designed to use team-level information only, such as age group, level, number of players, practice length, and goals.
9.2 You agree not to submit any personal information about any player or other minor. This includes names, photos, videos, contact details, birthdates, school names linked to individual players, health or injury information, or anything else that identifies a child. Describe players by role or number only (for example, "Player 4, a guard").
9.3 If you submit such information anyway, you are responsible for having any required permission, and we may delete it. The Service is intended for adult coaches and is not directed to children.
10. Fees, Payment, and No Refunds
10.1 Prices. The Service is sold as a one-time payment for a fixed number of weeks:
| Option | Price |
|---|---|
| 8 weeks (8 weekly plans) | $125 |
| 12 weeks (12 weekly plans) | $175 |
| 20 weeks (20 weekly plans) | $250 |
Prices are in U.S. dollars. Any applicable taxes will be shown at checkout. A later price change does not affect a purchase already made.
10.2 ALL SALES ARE FINAL. NO REFUNDS ARE GIVEN, INCLUDING FOR UNUSED WEEKS, A SHORTENED OR CANCELLED SEASON, A CHANGE OF MIND, OR YOUR DECISION NOT TO USE THE CONTENT, except where a refund is required by applicable law.
10.3 Payments are processed by a third-party payment processor (currently Stripe). By paying, you also agree to the processor's terms. We do not store your full card number.
10.4 If you believe you were charged in error, contact us first at [email protected] so we can investigate. If you start a chargeback or payment dispute for a purchase that was properly made and delivered under this Agreement, we may suspend the Service while the dispute is open, and we may provide this Agreement and your acceptance record to the payment processor.
11. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE CONTENT IS SAFE OR SUITABLE FOR ANY PLAYER, TEAM, OR FACILITY, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
Product links or gear recommendations, including Amazon affiliate links, are for convenience. Products are sold by third parties, and we make no warranty about them. We may earn a commission on qualifying purchases.
12. Release and Waiver of Claims
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU, FOR YOURSELF AND FOR YOUR HEIRS, EXECUTORS, ADMINISTRATORS, SUCCESSORS, AND ASSIGNS (AND ANY ORGANIZATION YOU ACCEPT FOR), RELEASE, WAIVE, AND FOREVER DISCHARGE THE RELEASED PARTIES FROM ANY AND ALL CLAIMS, DEMANDS, LIABILITIES, AND CAUSES OF ACTION OF ANY KIND, whether known or unknown, and whether in contract, tort, ORDINARY NEGLIGENCE, warranty, statute, or otherwise. This release covers personal injury, illness, death, property damage, financial loss, emotional distress, and damage to reputation that arise out of or relate to:
(a) the Service or any Content; (b) your use, adaptation, implementation, or non-use of any Content; (c) your Team Activities; or (d) any player, parent, guardian, assistant, volunteer, official, league, school, facility, or other third party connected to your team.
12.1 What this release does not cover. This release does not apply to claims arising from a Released Party's gross negligence, recklessness, or willful, wanton, or intentional misconduct. It also does not apply to any claim that applicable law does not allow to be released, including under Minnesota Statutes section 604.055. It does not limit any right that cannot be waived by law.
12.2 Others' claims. You understand that this release is given by you and cannot, by itself, release claims belonging to players or their parents or guardians. Your responsibility for those claims is addressed in Section 14.
13. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW:
(a) THE RELEASED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST OPPORTUNITIES, OR LOSS OF DATA OR GOODWILL, even if advised of the possibility of such damages.
(b) THE TOTAL LIABILITY OF ALL RELEASED PARTIES COMBINED, FOR ALL CLAIMS OF ANY KIND ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SERVICE, WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US FOR THE SERVICE GIVING RISE TO THE CLAIM (and no more than $250). If you have paid nothing, the limit is $0.
These limits apply to every theory of liability and even if a remedy fails of its essential purpose. They do not apply to liability that cannot be limited by law, including liability for gross negligence or willful, wanton, reckless, or intentional misconduct. You agree that these limits are a fair allocation of risk and are reflected in our prices.
14. Indemnification and Hold Harmless
14.1 To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the Released Parties from and against all third-party claims, demands, lawsuits, damages, losses, judgments, settlements, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:
- your Team Activities, including any injury, illness, death, or loss suffered by any player, parent, guardian, assistant, volunteer, spectator, or other person;
- your use, adaptation, implementation, or non-use of any Content;
- your communications with players, parents, guardians, or organizations;
- your violation of this Agreement, any league or organization rule, or any law; or
- any information you submit, including any personal information about a minor submitted in breach of Section 9.
14.2 This indemnity does not apply to the extent a claim is caused by a Released Party's gross negligence or willful, wanton, reckless, or intentional misconduct.
14.3 We may choose our own counsel to participate in the defense at our own cost. You may not settle any claim that imposes an obligation or admission on a Released Party without our written consent.
15. Intellectual Property and No Redistribution
15.1 Ownership. All Content is owned by Court Ready or its licensors and is protected by copyright and other laws. You receive a license, not ownership.
15.2 Your license. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Content for the team you registered, during and after your season. You may share Content with that team's assistant coaches and, for agendas or talking points, with that team's parents as part of your own communications.
15.3 You may not: - resell, sublicense, publish, post publicly, or distribute the Content; - share it with other teams, coaches, clubs, or organizations; - remove watermarks or notices; - copy it into another product or service; or - use it to train or prompt artificial-intelligence or machine-learning systems.
This applies except as allowed in Section 15.2 or with our written permission.
15.4 Feedback. If you send suggestions or feedback, we may use them without obligation to you. We will not publicly identify you or your team without your permission.
16. Communications
You agree that we may email you about the Service, including plans, replies, and account and policy notices. Any marketing emails will include a way to unsubscribe. Emails about the Service you purchased are part of the Service.
17. Privacy
We handle information you provide as described in our Privacy Notice [link to be added on publication]. When you accept this Agreement, we keep a record of your acceptance (see Section 23).
18. Dispute Resolution
18.1 Talk to us first. Before filing any claim, you agree to email [email protected] with a description of the issue and the relief you want. You also agree to give us thirty (30) days to try to resolve it informally.
18.2 Two tracks: small claims for minor disputes, arbitration for everything else. If a dispute is not resolved informally under Section 18.1, it will be resolved in one of the two ways below.
18.3 Small claims for minor disputes. Either party may bring an individual claim in conciliation court (small claims court) in Olmsted County, Minnesota, for any claim that is within that court's monetary limit and otherwise qualifies there. This option is intended for minor disputes, including claims within the liability limit in Section 13. A claim properly filed in small claims court will stay there unless it is transferred or appealed to a higher court, in which case it will be resolved by arbitration under Section 18.4.
18.4 Binding arbitration for all other disputes. Every other dispute, claim, or controversy arising out of or relating to this Agreement or the Service will be resolved by final and binding arbitration on an individual basis before a single neutral arbitrator, administered by [the American Arbitration Association under its Consumer Arbitration Rules] and governed by the Federal Arbitration Act. Arbitration will take place in Olmsted County, Minnesota, or by video or written submissions where the rules allow. The arbitrator may award the same individual relief a court could award, subject to this Agreement. The arbitrator's decision is final and binding. There is no judge or jury in arbitration, and the grounds to appeal or challenge an arbitration award in court are very limited. Judgment on the award may be entered in any court with jurisdiction.
18.5 Class action waiver. You and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or award class-wide relief. If this class waiver is found unenforceable, Section 18.4 will not apply, and the dispute will proceed in court under Section 19.
18.6 Opt-out. You may opt out of arbitration by emailing [email protected] within thirty (30) days after you accept this Agreement. Your email must include your name and the statement "I opt out of arbitration." Opting out does not affect any other part of this Agreement.
19. Governing Law and Venue
This Agreement is governed by the laws of the State of Minnesota, without regard to conflict-of-law rules, and by applicable federal law. Subject to Section 18, any lawsuit arising out of or relating to this Agreement or the Service will be brought exclusively in the state courts located in Olmsted County, Minnesota, or the United States District Court for the District of Minnesota. You and we consent to the personal jurisdiction of those courts.
20. Time Limit to Bring Claims
To the extent permitted by law, any claim arising out of or relating to this Agreement or the Service must be filed within one (1) year after it arises. Otherwise, the claim is permanently barred.
21. Changes to This Agreement
We may update this Agreement for future purchases. The version number and effective date appear at the top. The version you accepted applies to your purchase. A later change will not apply to your existing purchase unless you agree to it.
22. Suspension and Termination
We may suspend or end your access to the Service if you materially breach this Agreement, including Sections 9 or 15, misuse the Service, or harass our team. If we end the Service because of your breach, no refund is due. Sections 3, 4, 7 through 15, and 18 through 24 survive the end of the Service.
23. Electronic Acceptance and Records
23.1 You agree to do business with us electronically. Checking the acceptance box, typing your full name, and clicking to proceed together form your electronic signature. This signature has the same effect as a handwritten signature under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN) and the Minnesota Uniform Electronic Transactions Act (Minnesota Statutes chapter 325L).
23.2 We keep a record of your acceptance. The record includes your typed name, email address, the date and time, the Agreement version, and, where permitted by law, technical information such as your IP address. You can save or print this Agreement from its web page at any time. You can also request a copy at [email protected].
24. General Terms
24.1 Severability. If any provision of this Agreement is held invalid or unenforceable, it will be enforced to the maximum extent permitted, or limited or severed as needed, and the rest of this Agreement will remain in full effect. In particular, if any release, waiver, or limitation is held unenforceable as applied to conduct greater than ordinary negligence, it remains enforceable as to ordinary negligence and inherent risks.
24.2 Entire agreement. This Agreement, together with the checkout page and the Privacy Notice, is the entire agreement about the Service. It replaces any prior statements. Website marketing descriptions do not create warranties or guarantees.
24.3 No waiver. Our failure to enforce a provision is not a waiver of it.
24.4 Assignment. You may not assign this Agreement. We may assign it to a successor of the business.
24.5 Relationship. You are not our employee, agent, or partner, and we are not yours. Nothing in this Agreement makes us your team's coach, employer, or supervisor.
24.6 Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control. These include outages, internet or email failures, illness, severe weather, natural disasters, and government action.
24.7 Third-party beneficiaries. The Released Parties are intended beneficiaries of Sections 8, 11, 12, 13, and 14. No one else is a third-party beneficiary.
24.8 Notices. Notices to us must be sent to [email protected] and, for legal notices, to Albee Elite LLC, 5405 20th St SE, Rochester, MN 55904. We may send notices to the email you provided.
24.9 Headings and summary. Headings and the Plain-English Summary are for convenience. The numbered sections control.
